HEATWAVE EVENTS LLC – FULL TERMS & CONDITIONS, LIABILITY WAIVER, AND PARTICIPANT AGREEMENT

Effective Date: March 1, 2026

These Terms & Conditions (“Agreement”) govern all purchases, attendance, and participation in any Heatwave Events LLC (“Heatwave”) event, including but not limited to the Hotel Venezia Takeover – Venice, Florida (July 17-19, 2026).

By purchasing a ticket, package, or attending the Event, you (“Guest,” “Attendee”) agree to be legally bound by this Agreement.

1. NATURE OF EVENT & VOLUNTARY PARTICIPATION

Heatwave events are private, adults-only (21+) social gatherings that may include:

• Adult-oriented themes, expression, and attire

• Social and interactive environments among consenting adults

• Music, entertainment, and hospitality services

You acknowledge and agree:

• You are voluntarily attending an environment that may include sexually expressive behavior

• You are not being compelled or coerced to participate in any activity

• You may leave any situation or the event at any time

2. STRICT CONSENT POLICY

Heatwave enforces a zero-tolerance consent policy.

All Guests must:

• Obtain clear, enthusiastic, ongoing consent before any interaction

• Respect all verbal and non-verbal boundaries immediately

• Cease interaction immediately upon withdrawal of consent

Prohibited conduct includes (but is not limited to):

• Non-consensual touching or advances

• Harassment, intimidation, or coercion

• Recording or photographing others without consent

• Interacting with any person who appears impaired or unable to consent

Violation results in:

• Immediate removal without refund

• Potential ban from future events

• Possible referral to law enforcement

3. AGE REQUIREMENT

All attendees must be 21 years of age or older and present valid government-issued identification upon request.

4. TICKET SALES – FINAL & NON-REFUNDABLE

ALL SALES ARE FINAL.

No refunds, credits, or exchanges will be issued for any reason, including but not limited to:

• Personal schedule conflicts

• Travel delays or cancellations

• Illness or medical issues

• Relationship changes

• Dissatisfaction with event content

• Weather conditions

• Failure to attend

This policy applies to:

• Event tickets

• Hotel/lodging packages

• VIP upgrades

• Add-ons of any kind

5. CHARGEBACK & PAYMENT DISPUTE POLICY

By purchasing, you expressly agree:

• You will not initiate a chargeback or payment dispute without first contacting Heatwave

• All purchases are knowingly made under a no-refund policy

Unauthorized chargebacks may result in:

• Immediate ban from all current and future Heatwave events

• Collection action for recovered funds, fees, and damages

• Legal enforcement of this Agreement

6. TRANSFERS & RESALES

• Tickets and packages may only be transferred with prior written approval from Heatwave

• Unauthorized resale or transfer may result in cancellation without refund

• Heatwave reserves the right to reissue or void tickets at its discretion

7. HOTEL & LODGING TERMS

For hotel packages:

• Lodging is sold as part of a bundled event experience

• Packages are typically based on double occupancy unless otherwise stated

• Specific room location, layout, bedding configuration, or views are not guaranteed

Guests agree:

• To comply with all hotel policies

• To provide a valid credit card for incidentals if required

• To be financially responsible for any damages caused

Heatwave is not responsible for:

• Hotel service quality

• Room conditions

• Third-party operations of the venue

8. CODE OF CONDUCT & RIGHT OF REMOVAL

Heatwave reserves the absolute right, at its sole discretion, to:

• Deny entry

• Remove any Guest

• Refuse service

For any reason, including but not limited to:

• Violation of consent policy

• Intoxication or substance-related impairment

• Disruptive or unsafe behavior

• Non-compliance with staff instructions

Removal will occur without refund.

9. PRIVACY & MEDIA POLICY

Heatwave prioritizes guest discretion; however:

• Certain areas may be photographed or recorded for promotional purposes

• By attending, you grant Heatwave a limited, irrevocable right to use incidental images or likeness in which you may appear

Strictly prohibited:

• Unauthorized photography or video of other guests

• Sharing identifiable content without consent

Violations may result in removal and legal action.

10. ASSUMPTION OF RISK

You voluntarily assume all risks associated with attendance, including but not limited to:

• Personal injury

• Illness (including communicable diseases)

• Property damage or theft

• Interactions with other attendees

• Alcohol consumption

You acknowledge that:

• The event environment is social and unpredictable

• Heatwave does not control individual guest behavior

11. RELEASE OF LIABILITY

To the fullest extent permitted by Florida law, you hereby release, waive, and discharge:

• Heatwave Events LLC

• Its owners, officers, employees, contractors, and affiliates

• The event venue, hotel, and all associated parties

From any and all claims, liabilities, damages, losses, or expenses arising from:

• Participation in the event

• Use of the venue or hotel property

• Interactions with other guests

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Heatwave from any claims or damages arising out of:

• Your actions or omissions

• Your violation of this Agreement

• Any harm caused to persons or property

13. EVENT MODIFICATIONS

Heatwave reserves the right to:

• Modify schedules, programming, or entertainment

• Change event locations within the venue

• Adjust capacity, layouts, or access

Such changes do not entitle the Guest to any refund or compensation.

14. FORCE MAJEURE

Heatwave is not liable for failure to perform due to events beyond its control, including but not limited to:

• Natural disasters

• Government restrictions

• Venue closure

• Public health emergencies

If the event is canceled, any remedy will be determined solely at Heatwave’s discretion.

15. NO PROFESSIONAL ADVICE OR SERVICES

Guests acknowledge that Heatwave does not provide:

• Medical advice

• Psychological counseling

• Relationship or lifestyle guidance

All participation is voluntary and self-directed.

16. NO EXPECTATION OF PRIVACY IN COMMON AREAS

While discretion is encouraged, Guests acknowledge:

• They are attending a shared social environment

• Complete privacy cannot be guaranteed in common areas

17. GOVERNING LAW & VENUE

This Agreement shall be governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively in:

• Collier County or Sarasota County, Florida (you may choose one strategically)

18. ARBITRATION & WAIVER OF JURY TRIAL (STRONGLY RECOMMENDED)

Any dispute arising under this Agreement shall be resolved through binding arbitration, not in court.

You waive:

• The right to a jury trial

• The right to participate in a class action lawsuit

19. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force.

20. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior communications.

21. ACKNOWLEDGMENT OF UNDERSTANDING

By purchasing and/or attending, you acknowledge that:

• You have read and fully understand this Agreement

• You voluntarily accept all terms

• You understand this is a no-refund, adult-oriented event

• You assume all risks associated with participation
